Ownership: Under this license, we grant you a limited, non-exclusive, and non-transferable right to use the product you purchase. This agreement does not grant you ownership of the product or any intellectual property rights, including copyrights, trademarks, or other proprietary rights. All rights not explicitly granted in this agreement are reserved by Exhibit and any relevant third parties.
Purchasing Entity: This license is non-sublicensable and cannot be transferred. You cannot distribute, lease, rent, sublicense, or redistribute the license or product outside of the purchasing entity.
Multiple Use: You can use the product for commercial purposes in multiple projects or events, provided that it is used and displayed under the licensee's name, brand, and logo.
Production: You may share the production file or open-source file with third-party manufacturers for production purposes. You or your third party can edit the open-source file before manufacturing, but ensure that the files are not shared with other clients and are deleted once the third-party scope is delivered.
Compliance: Any attempt to engage in reverse engineering or to work around technical limitations is strictly prohibited.
Third Party: The following limits apply whether you are a third party, production company, management agency, or freelancer ("Third Party" or "Third Parties"):
You may sell the product to a single consumer per product/license. Each transferred license must be transferred entirely, and all transferred products must be permanently erased from the systems of the Third Parties after the transfer. The Third Party represents and warrants that the transferee is bound by these terms when transferring the license. The third party is equally and severally accountable with any transferee for the transferee's use and compliance with Exhibit's Terms and Conditions, Exhibit's policies and processes, and any financial obligations hereunder.
You are strictly prohibited from buying a product and reselling it to multiple clients. Similarly, if the derivative work is too similar to the product, you may not distribute it (for instance, you may not slightly modify a version of a product and sell it to multiple clients).
Ownership: Exhibit grants you the ownership of the product under this license. However, it reserves all intellectual property rights. You may sell, rent, lease, sublicense, transfer, or redistribute the product but you may not claim to be the creator or the copyright holder of a product you purchased.
Multiple Use: You can use the product under this license type for commercial purposes in multiple projects or events.
Production: You may share the production file or the open-source file with your third party for the purpose of manufacturing the product.
Third Party: Since you obtained ownership of the product, you may distribute, sell, rent, lease, sublicense, transfer, or redistribute it as a third party, production company, management agency, or freelancer under this exclusive license.
It is permissible to share products with third parties while working in partnership with those third parties on the production/development of the product or the project as a whole. Any third party who obtains products acquired by you may only use them on your projects/productions and must take reasonable precautions to secure and limit access to them for that purpose.
If the production is owned by another entity (“Your Client”), and you are working as a contractor and need to share products with your client, or any external parties working with your client, sharing products is permitted, subject to the restriction that all parties may use products only for your client’s particular project and your client’s consent and acknowledgment.
Using products in a way that competes with Exhibit's site, such as publishing, distributing, or making them available on other online marketplaces.
Redistributing, publishing, or sharing products with others, unless they are in the form of an permitted derivative or as allowed by this agreement.
Sharing a license within a group, as each license is single-seat and can only be used by one person (applicable to both licenses).
You may not misrepresent yourself as the creator of Products (applicable to both licenses).
You may not use the product in a way that violates anyone’s intellectual property rights (for example, copyrights, trademarks, patents, or rights of publicity), nor may you make a pornographic, defamatory, or unlawful manner. Similarly, you may not use the product to promote alcoholic beverages, tobacco, gambling, firearms, or explosives, either directly or indirectly (applicable to both licenses).
You must credit Exhibit as the owner of the represented intellectual property ownership if you publish a product on another online platform for photography, clip art, or design templates (applicable to both licenses).
Images of a product displayed on its product Page (“preview Images”) may be used to create imagery if the product itself has been purchased. On the product page, you can take screenshots for your convenience (applicable to both licenses).
You may not use a product or its modifications/derivatives in any trademark, service mark, or business logo (applicable to both licenses).
Without previous authorization from Exhibit, you may not use a product in machine learning programming or AI-derived generative material. If you need permission, please contact us at

Products may be used to create virtual worlds, simulations, training environments, and applications for internal usage (inside the corporate entity). If the incorporation is to be made publicly accessible, such as by posting on social media platforms or audio/visual production, credit must be accorded to Exhibit (licensor) in equal size and comparable location to such credit(s). You must take all reasonable steps to incorporate products into your creations in order to prevent unauthorized people from accessing them. Products must be contained in proprietary forms that cannot be opened, imported, or extracted without reverse engineering into a publicly available software application or framework. Hence, the use of open systems that have the general functionality for importing and/or exporting Products is prohibited (applicable to both licenses).
Products may be subject to the export/import laws of other countries. You agree to rigorously comply with all applicable laws and to obtain any export, re-export, or import authorizations required by local laws in regard to the product (applicable to both licenses).
This agreement is governed by UAE law, excluding conflict of law principles. Any action or proceeding arising out of or related to this agreement must be brought in a court located in Dubai, and both parties irrevocably submit to the exclusive jurisdiction of such courts. All notices, requests, and other communications under this agreement must be in writing (email messages shall be deemed writings) (applicable to both licenses).
This agreement may be translated into other languages, but English is the official language of this agreement and in any conflict between the English-language version and any other version, the English-language version shall prevail (applicable to both licenses).
Any claim by you hereunder, including without limitation a claim for indemnification under “Limitation of Liability” must be made within thirty days of purchasing the product (applicable to both licenses).
Exhibit is allowed the following promotion, marketing, and publicity rights for each licensing tier:
Non-Exclusive License purchases may be fully publicized by Exhibit and you hereby grant Exhibit the right to use you and your company’s name, logo, and project name on the Exhibit website and in its related marketing and advertising materials.
Exclusive License purchase may not be publicized by Exhibit without prior written permission of the licensee.
Any reversal of a purchase for any reason terminates all rights provided under this agreement immediately. Potential Payment reversals can occur for a variety of reasons, including a granted refund based on your request (for more information, see our refund policy), a notice of purchase cancellation from you or your bank, withdrawal of the funds used for your purchase, or Exhibit determining in its sole discretion that your purchase was fraudulent.
Your right and license to products are immediately terminated if you fail to comply with the conditions of this agreement. You will be held liable for any damages incurred as a result of any such breach. Furthermore, you agree to pay Exhibit a fee of up to 30 times the amounts paid hereunder for unauthorized use of the product. This agreement clearly defines violations, thus it is critical that you study it before taking any action that may put you in violation of this agreement. You acknowledge that you have the legal capacity to enter and perform this agreement.
You will not use the items except in accordance with the terms of this agreement. If you use unauthorized products, you undertake to pay any reasonable cost or penalty imposed by Exhibit under this agreement or applicable law.
You will not use the products in a way that violates any Intellectual Property rights depicted
You will immediately notify Exhibit of any legal claim or challenge against your use of products or any other rights issue, before disclosing such issue to anyone else.
Products are provided on an “as is,” “as available,” and “with all faults” basis. Exhibit makes no representations, warranties, conditions, or guarantees as to the usefulness, quality, suitability, truth, fitness for a particular purpose, non-infringement, merchantability, or cosmetic attributes of products, and does not guarantee the accuracy or completeness of specifications associated with products, including measurements, weight, durability, strength, materials, general physical properties, regulatory compliance, other engineering or construction attributes.
Exhibit permits you to return your purchase within specified acceptable time limits and conditions, subject to the Site's regulations. (For more information, see our refund policy.)
By purchasing products, you accept full responsibility for any potential damage to your computer systems and network, including any damage caused by computer viruses.
To the fullest extent permitted by law, Exhibit shall not be liable for any direct, indirect, punitive, special, incidental, consequential, or exemplary damages (including loss of business, revenue, profits, goodwill, use, data, electronically transmitted orders, or other economic advantage) arising out of or in connection with products, even if Exhibit has previously been advised of, or reasonably could have foreseen, the possibility of such damages. However they arise, whether in breach of contract or in tort (including negligence).
You agree to indemnify and hold Exhibit and its subsidiaries, affiliates, agents, licensee, suppliers, alliance members, other partners, employees, and representatives ("Exhibit Parties") harmless from any claim or demand field by any third party as a result of or arising from your use of products or its derivatives.
Exhibit shall indemnify, defend, and hold you harmless from and against any claim or demand, including reasonable attorneys' fees, filed by any third party for copyright or trademark infringement arising from or related to your use of the products in accordance with these terms, excluding any modifications made to it by you or any other entity. If the alteration causes such an infringement. This entire article will no longer be applicable.
If you file an indemnification claim, you agree to notify Exhibit within thirty days of receiving any claim and to allow Exhibit to fully control such claim, including, but not limited to, the selection of counsel, reasonable diligence into the claim, and, if necessary, litigation and/or settlement. Notification must be sent to customer.care@e-exhibit.com. Notice is not considered until Exhibit acknowledges it in writing.
